Quick Answer & Key Highlights

These Terms and Conditions govern the engagement, development, and usage of software services, websites, and cloud applications provided by TechForest Software Pvt. Ltd. By accessing our services or entering a Statement of Work, you agree to these terms.

1. Acceptance of Terms & Engagement Scope

By browsing this website, subscribing to cloud software, or executing a custom software development agreement with TechForest Software Pvt. Ltd. ("TechForest"), you agree to be legally bound by these Terms and Conditions and our Privacy Policy.

All bespoke software engineering engagements are governed by an agreed Statement of Work (SOW) or Service Level Agreement (SLA) detailing technical scope, deliverables, payment milestones, and deployment timelines.

2. Intellectual Property Rights & Source Code Ownership

Upon full and final payment of all agreed project milestones as stipulated in the SOW, 100% of custom-developed application source code, bespoke assets, and project intellectual property are assigned to the client. TechForest retains ownership of pre-existing proprietary frameworks, reusable libraries, and core architectural components utilized across projects, granting the client a perpetual, royalty-free license to use such components.

3. Payment Terms, Milestones & Invoicing

Invoices are issued according to verified project milestones outlined in the SOW. Payments are due within the timeframe specified on invoices (typically 7 to 14 business days). Delays in milestone approvals or payments may result in temporary suspension of development sprints or staging server access.

4. Warranties, SLA & Limitation of Liability

TechForest warrants that all software delivered will conform in all material respects to the agreed specifications for a standard 30-day post-launch warranty period. Following warranty expiry, ongoing maintenance and bug fixes are governed by an Annual Maintenance Contract (AMC).

To the maximum extent permitted by Indian law, TechForest shall not be liable for indirect, incidental, or consequential damages resulting from third-party server downtime, cyber incidents beyond reasonable control, or unauthorized modifications made by third parties.
